<h4>1. CHALLENGE DESCRIPTION</h4> These Official Rules, Terms & Conditions (“Official Rules”) apply to the 2015-2016 Partnership for Freedom’s Rethink Supply Chains Challenge (the “Challenge”), sponsored by Humanity United (referred to herein as “the Partnership” or “HU”) and administered by Luminary Labs, LLC (“Luminary Labs”). Please read these Official Rules carefully before entering the Challenge, since you must comply with these Official Rules in all regards to be eligible to win any prize. The Challenge calls upon developers, designers, advocates, and innovators to submit concepts for technological solutions that help businesses, workers, governments, or non-governmental organizations (NGOs) identify, prevent, and eradicate labor trafficking and/or forced labor practices from the supply chain for goods and services. For the purposes of this challenge, labor trafficking and /or forced labor practices include forced labor, slavery, the worst forms of child labor, and human trafficking, defined as the recruitment, harboring, transportation, provision, or obtaining of a person for labor or services, through the use of force, fraud, or coercion, for the purpose of subjection to involuntary servitude, peonage, debt bondage, or slavery. Specific areas of focus and potential objectives for submissions to address are included within the Challenge Details page of the Website (www.partnershipforfreedom.org/rethinksupplychains). Submission(s) may either address one of these Challenge areas or propose an alternate objective relating to identifying, preventing, or eradicating labor trafficking and/or forced labor practices in supply chains for goods and services. The Challenge will be conducted in four phases: <ol> <li>Challenge launch and open submission period (“Open Submission Period”);</li> <li>Judging of submissions and selection of finalists;</li> <li>Finalist Accelerator (inclusive of Finalist mentorship and Finalist Boot Camp) (“Finalist Accelerator Phase”); and</li> <li>Grand Prize Application, final judging and selection of Grand Prize winner and Grand Prize Runner-Up winner.</li> </ol> During the Challenge Open Submission Period, any individual, team, or entity (“Entrant” or “Entrants”) that desires to participate in the Challenge must make a submission via the Luminary Lightbox<sup>TM</sup>platform, accessed through the Partnership for Freedom website. The submission should contain a description of the technological solution, the issue the technology solution will address, and generally how the solution will address that issue. Entrants should complete the submission form, including uploads of required documents and completion of the submission checklist. Following the close of the Open Submission Period, up to five eligible submissions will be selected by a panel of judges appointed at the sole discretion of the Partnership (“Judges”) as finalist submissions (“Finalist”), based on evaluation of the submissions under the criteria set forth in these Official Rules. If the Judges determine that no submission sufficiently satisfies the criteria for the Challenge, then no submission will be chosen. To qualify as a Finalist, the submission must be chosen by the Judges, the Finalist must be qualified to enter in compliance with these Official Rules, and each Finalist must agree to the terms and conditions of the Master Challenge Agreement in all regards. Qualifying Finalists will be awarded a cash prize of $20,000 to further develop their concept in the Finalist Accelerator Phase, where there will be the opportunity to receive assistance and to participate in an in-person Finalist Boot Camp. Finalists are encouraged to use their $20,000 award to improve upon their submission concept during the Finalist Accelerator Phase with the goal of submitting an application for the Challenge’s Grand Prize or Runner-Up Grand Prize. At the end of the Finalist Accelerator Phase, each Finalist will have the opportunity to submit a Grand Prize Application consisting of an updated description of the concept, an overview of how the concept evolved during the Finalist Accelerator Phase, a demonstration of the prototype, an implementation timeline to build out the prototype into a deployable solution within 12 months of the Challenge, key learnings during the Finalist Accelerator Phase. From among the Grand Prize Application submissions, one (1) Grand Prize winner and one (1) Grand Prize Runner-Up winner will be selected. The Grand Prize is an award of $250,000 to further develop the concept set forth in the Grand Prize Application, and the Grand Prize Runner-Up award is $50,000 to further develop the concept set forth in the Grand Prize Runner-Up winner’s Grand Prize Application. Both a Grand Prize winner and a Grand Prize Runner-Up winner will be chosen only if two submissions meet all judging criteria and otherwise conform to the Official Rules and the Master Challenge Agreement. <h4>2. ELIGIBILITY TO COMPETE</h4> To be eligible to compete to win a prize in the Challenge, Entrants must: <ol> <li>Register on the Luminary Lightbox<sup>TM</sup>platform and meet all requirements specified for platform use;</li> </ol> <ol start="2"> <li>Make a submission on <a href="http://www.partnershipforfreedom.org/rethinksupplychains">partnershipforfreedom.org/rethinksupplychains</a> (the Challenge website) in compliance with these Official Rules;</li> </ol> <ol start="3"> <li>Otherwise comply with these Official Rules and all Challenge requirements, and enter into a Master Challenge Agreement, which will be included in the Challenge Submission Form provided to Entrants prior to the close of the Open Submission Period;</li> </ol> <ol start="4"> <li>Be (1) an individual or team of individuals consisting of legal residents of the United States and comprised of individuals at least 18 years of age, or (2) an entity or team of entities organized in and maintaining a primary place of business in the United States. To avoid any ambiguity, foreign citizens who are not legal residents of the United States can participate only as employees of an entity that is properly organized in the U.S. and that maintains a primary place of business in the U.S., or as members of a team for which the Team Lead (defined below in section 3) is an U.S. citizen or resident. Please note that foreign individuals, teams of foreign individuals, foreign entities, and teams of foreign entities may apply for a waiver of the requirement to be a legal resident of the United States or an entity organized in the United States. To request such a waiver to participate in the Challenge, please (i) submit to the Partnership the full legal names and nationality of each individual or entity wishing to participate, (ii) affirmatively represent that the Challenge does not violate the laws of the country where each individual or entity resides, and (iii) otherwise agree to comply with these Official Rules. All such waiver requests should be sent to <a href="mailto:[email protected]">[email protected]</a> and should include “Foreign Participant Waiver Request” in the subject line. The Partnership may request or require additional information from foreign individuals and/or entities before making a determination, in its sole discretion, whether such individuals or entities may participate in the Challenge. Additionally, by participating in the Challenge, each foreign Entrant agrees and acknowledges that the Partnership reserves the right to reduce, alter, or not award any finalist, Grand Prize, or Runner-Up amounts to foreign Entrants in order to address and comply with relevant administrative, regulatory, legal, or tax withholding matters or to otherwise comply with the goals and objectives of the Challenge; and</li> </ol> <ol start="5"> <li>Not be a Federal entity or Federal employee acting within the scope of his or her employment. An individual or entity shall not be deemed ineligible because the individual or entity used Federal facilities or consulted with Federal employees during or in connection with the Challenge if the Federal facilities and employees used or relied upon are available to all individuals and entities participating in the competition on an equal basis.</li> </ol> Past and current employees and members of the Board of Trustees or Board of Directors, as applicable, of Luminary Labs, Humanity United, the Righteous Persons Foundation, the Goldman Sachs Foundation (10,000 Women Initiative), and the Ray and Dagmar Dolby Family Fund (together, the “Private Partners”) and the current employees of the U.S. Department of Justice, U.S. Department of Health and Human Services, the U.S. Department of Housing and Urban Development, the U.S. Department of State, the Department of Labor (together, the “Public Partners” and along with the Private Partners, the “Challenge Partners”) and each of their affiliates, and/or any other individual or entity associated with the development, evaluation, or administration of the Challenge, as well as members of such persons’ immediate families (spouses, children, siblings, parents) and persons living in the same household as such persons, whether or not related, are not eligible to participate in the Challenge. By participating in the Challenge, each Entrant agrees to comply with and abide by these Official Rules and the decisions of the Partnership and/or the judges, whose decisions, upon approval by the Partnership, shall be final and binding in all respects. The Partnership retains the right to amend, supplement or otherwise modify these Official Rules, the Master Challenge Agreement and any other materials applicable to the Challenge to ensure compliance with applicable laws, including the Internal Revenue Code and Treasury Regulations, and to comply with the overall mission and objectives of the Partnership and the Challenge. <h4>3. REPRESENTATIONS AND WARRANTIES/ INDEMNIFICATION</h4> By participating in the Challenge, each Entrant – whether an individual, a team of individuals or entities, or an entity – represents, warrants, and covenants as follows: (a) Entrant is the sole author, creator, and owner of the submission; (b) the contents of the submission are not the subject of any actual or threatened litigation or claim; (c) the submission and its implementation does not and will not violate or infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party, including but not limited to any contractual rights of others; (d) the submission and its implementation does not and will not contain any harmful computer code (sometimes referred to as “malware,” “viruses” or “worms”); and (e) the submission and its implementation does not and will not violate any applicable laws or regulations, including, without limitation, applicable export control laws and regulations of the U.S. and any other applicable jurisdictions. If the submission and its implementation includes any third party works (such as third party content or open source code), the Entrant must be able to provide, upon request by Luminary Labs or the Partnership, documentation of all appropriate licenses and releases for such third party works. If the Entrant cannot provide documentation of all required licenses and releases, the Partnership reserves the right, in its sole discretion, to disqualify the applicable submission, or seek to secure the licenses and releases and allow the applicable submission to remain eligible for the Challenge. The Partnership otherwise reserves all rights to seek appropriate relief with respect to or arising out of claims caused by the Entrant’s failure to obtain necessary licenses and releases. Entrants – whether an individual, a team of individuals or entities, or an entity – on behalf of themselves and each of their respective heirs, executors, administrators, legal representatives, agents successors, and assigns agree to indemnify, defend, and hold harmless the Partnership, Challenge Partners, Judges and Luminary Labs from and against all third party claims, actions, or proceedings of any kind, and from any and all damages, liabilities, costs, and expenses relating to or arising from the submission or any breach or alleged breach of any of the representations, warranties, and covenants made under these Official Rules and the Master Challenge Agreement, as applicable. <h4>5. INTELLECTUAL PROPERTY AND SUBMISSION LICENSE</h4> Intellectual property rights in technology created for, or submitted in connection with, this Challenge shall be retained by the Entrant making the submission, except as provided for in these Official Rules and the Master Challenge Agreement. By participating in the Challenge, the Entrant – whether an individual, a team of individuals or entities, or an entity – hereby irrevocably grants to the Partnership and Luminary Labs a limited, non-exclusive, royalty free, worldwide, license and right to reproduce, publicly perform, publicly display, and use the submission and the concept contained in the submission and Grand Prize Application to the extent necessary to administer the Challenge, and to publicly perform and publicly display an abstract of the submission and the concept contained in the submission and the Grand Prize Application, including, without limitation, for advertising and promotional purposes relating to the Challenge and/or the Partnership. The Grand Prize winner and Grand Prize Runner-Up winner agree to and hereby grant to the Partnership a non-exclusive worldwide, royalty free perpetual irrevocable right to reproduce, publish, modify, distribute and make derivative works of the submission, the Grand Prize Application and the concept and materials contained therein, solely in furtherance of the Partnership’s charitable mission and objectives. Entrants may not use any names or logos associated with the Partnership or Luminary Labs without the prior written approval of the Partnership or Luminary Labs, as applicable, and no legal partnership or joint venture is created by the submission of an application, receipt of a grant, or acceptance of a grant or award. <h4>6. FINALIST AND WINNER SELECTION/EVALUATION CRITERIA</h4> A panel of between five and seven judges with experience in the fields of business, investing, technology, human rights, and/or philanthropy chosen by the Partnership (the “Judges”) will select up to five Finalists from the pool of eligible submissions, and from the Finalists will choose up to one Grand Prize winner and one Grand Prize Runner-Up winner. The judging will be based and scored upon the Judges’ evaluation of each submission received during the Open Submission Period according to the following evaluation criteria (“Finalist Evaluation Criteria”): <strong>Finalist Evaluation Criteria:</strong> <ol> <li><strong>Feasibility:</strong> Likelihood that the proposed solution can be developed into a prototype by the end of the Challenge and into a deployable solution within twelve (12) months of Challenge completion.</li> <li><strong>Usability:</strong> Degree to which the solution is designed to meet the needs of its target audience and incorporates the principles of user-centered design, in which the needs, wants, and limitations of end users of the solution are given extensive attention at each stage of the design process.</li> <li><strong>Scalability:</strong> Ability of solution to be replicated or commercialized within or across industries, geographies, and/or audiences.</li> <li><strong>Commitment:</strong> Demonstrated ability of Entrant to develop and implement and commercialize the concept.</li> <li><strong>Impact:</strong> Ability of the solution to make meaningful and measurable progress in identifying, preventing, or eradicating labor trafficking and/or forced labor practices in supply chains for goods and services.</li> </ol> Submissions may be targeted towards a specific sector or geographic region, and/or any intervention point in a supply chain for goods or services. While submissions during the Open Submission Period may be conceptual, the successful concept will be capable of becoming a prototype by the time of the Grand Prize Application, with the prototype further evolving into a deployable solution within twelve (12) months of the announcement date of the Challenge’s Grand Prize winner and Grand Prize Runner-Up winner. <strong>Grand Prize Evaluation Criteria</strong> The Grand Prize Evaluation Criteria, which the Judges will use to determine the Grand Prize winner and Grand Prize Runner-Up winner, include the Finalist Evaluation Criteria as well as the following additional criteria: <ul> <li>Willingness and ability to participate in the Finalist Accelerator.</li> </ul> <ul> <li>Demonstration of ability to effectively iterate and improve the concept into a prototype.</li> </ul> <ul> <li>Demonstration of ability to create a deployable solution within twelve (12) months.</li> </ul> All decisions of the Judges, upon approval of the Partnership, are final and binding and in their sole discretion. By participating in the Challenge, each Entrant – whether an individual, a team of individuals or entities, or an entity- acknowledges and agrees to be bound by and not to challenge the decisions of the Judges. When notification of Finalists and/or Grand Prize winner and Grand Prize Runner-Up winner is completed, or as soon as is practical thereafter, abstracts of the Finalists submissions and/or Grand Prize winner and Grand Prize Runner-Up winner, as applicable, may be posted on the Challenge website. No public announcement of scores or evaluations of any type by Judges will be posted or available. Individual feedback on submissions or applications will not be provided other than to Finalists eligible to participate in the Finalist Accelerator Phase. <h4>7. AVAILABLE PRIZE AWARDS</h4> The total available prize pool for the Challenge includes $400,000 in prizes and up to $100,000 of anticipated in kind support, the form and amount of which is to be determined and provided by the Partnership in its sole discretion. From the $400,000 Challenge prize pool, up to five Finalists will be awarded $20,000 following the judging of open submissions. Finalists will have the opportunity to improve and iterate upon their submissions and to develop a prototype during the Finalist Accelerator Phase. After the Finalist Accelerator Phase, Grand Prize Applications shall be submitted. The same Judges will select one (1) Grand Prize winner to receive a $250,000 grant and one (1) Grand Prize Runner-Up winner to receive a $50,000 grant. The Partnership reserves the right to disburse the Grand Prize and Grand Prize Runner-Up awards over the course of one or more payments, which payments may track milestones and achievements in improving and deploying the submission. The Grand Prize and the Grand Prize Runner-Up awards must be used to support the development of the technological solution proposed in the submission. This may include covering operational or administrative costs of an organization to implement the concept, as appropriate. If selected as a Grand Prize or Grand Prize Runner-Up winner, Entrants must enter into HU’s standard form of grant agreement and abide by the grant requirements in order to receive any grant funding for development of their solutions. Grand Prize or Grand Prize Runner-Up winners may also be required to participate in periodic meetings and conference calls to to share knowledge and information from their experiences working on their solutions with the Partnership and other key stakeholders. If after being selected, a Grand Prize or Grand Prize Runner-Up winner is unable for any reason to fulfill the terms of the Master Challenge Agreement or the HU grant agreement to which payments will be subject, the Partnership reserves the rights to select alternate winners and to require that any unspent funds be returned. <h4>8. NOTICE TO FINALISTS/WINNER(S)</h4> Attempts to notify Finalists and winner(s) will be made using the email address provided on the Luminary Lightbox™ platform in connection with the original submission. The Partnership and Luminary Labs are not responsible for e-mail addresses or other communication problems of any kind. The Entrant has the sole responsibility to advise the Partnership and Luminary Labs in writing promptly as to any updated email address to be used for contacting the Entrant. If there is no response within five (5) calendar days to any notification, or if the notification is returned as undeliverable to the Partnership or Luminary Labs, the Entrant may be disqualified and an alternate Finalist or winner may be selected at the Partnership’s sole discretion. If any potential prize winner is found to be ineligible, has not complied with these Official Rules, the Master Challenge Agreement, or the grant agreement to which Grand Prize and Grand Prize Runner-Up winners will be subject to, or declines the applicable prize for any reason, such potential prize winner will be disqualified and an alternate winner may be selected, or the prize may not be awarded if the mission and objectives of this Challenge and the Partnership cannot be met. <h4>9. ATTENDANCE</h4> To maintain eligibility, Finalists are required to participate in the Finalist Accelerator Phase organized by the Partnership and Luminary Labs, including the in-person Finalist Boot Camp. If the Entrant is unable to participate in the Finalist Accelerator Phase, Entrant will not be eligible to win the Challenge. A minimum of one person representing each finalist submission is required to attend the Finalist Boot Camp at his, her or its own expense. The Finalist award may be used to cover reasonable travel expenses for participation in the Finalist Boot Camp to be held in the metropolitan area of Washington, D.C. on February 22-23<sup>rd</sup>, 2016. <h4>10. PUBLICITY RELEASE</h4> By participating in the Challenge, each Entrant hereby irrevocably grants to the Partnership, Challenge Partners, and Luminary Labs the right to use such entrant’s name, likeness, image, and biographical information in any and all media for advertising and promotional purposes relating to the Challenge or Partnership, and otherwise, as stated in these Official Rules. <h4>12. MODIFICATIONS AND DISQUALIFICATION</h4> The Partnership reserves the right in its sole discretion to disqualify any Entrant who is found to be tampering with the entry process or the operation of the Challenge or Challenge website or other Challenge-related websites, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Challenge, or to annoy, abuse, threaten, or harass any other person, and the Partnership reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Further, the Partnership reserves the right to modify any dates or deadlines set forth in these Official Rules at the request of Luminary Labs or in order to assure the fair and efficient operation of the Challenge by Partnership. <h4>13. LINKS TO THIRD-PARTY WEBSITES</h4> The Challenge website may contain links to third-party websites that are not owned or controlled by the Partnership or Luminary Labs. The Partnership and Luminary Labs do not endorse or assume any responsibility for any such third-party sites. If an Entrant accesses a third party website from the Challenge website, he/she/it does so at his/her/its own risk and expressly relieves Luminary Labs and/or the Partnership from any and all liability arising from use of any third-party website content. <h4>14. CHALLENGE TERMINATION</h4> The Partnership reserves the right to suspend, postpone, cease, terminate or otherwise modify this Challenge, or any Entrant’s participation in the Challenge, at any time at the Partnership’s sole discretion. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by and construed in accordance with U.S. Federal law as applied in the Federal courts of the District of Columbia if a complaint is filed by any party against the Partnership, and the laws of the State of New York as applied in the New York state courts in New York City if a complaint is filed by any party against Luminary Labs. The failure of the Partnership to exercise or enforce any right or provision of these Official Rules shall not constitute a waiver of such right or provision. <h4>15. GENERAL LIABILITY RELEASE</h4> By participating in the Challenge, each Entrant hereby agrees that: (a) the Partnership and Luminary Labs shall not be responsible or liable for any losses, damages, or injuries of any kind (including death) resulting from participation in the Challenge or any Challenge-related activity, or from any Entrant’s acceptance, receipt, possession, use, or misuse of any prize; and (b) Entrants will indemnify, defend, and hold harmless the Partnership and Luminary Labs from and against all third-party claims, actions, or proceedings of any kind and from any and all damages, liabilities, costs, and expenses relating to or arising from entrant’s participation in the Challenge. Without limiting the generality of the foregoing, the Partnership and Luminary Labs are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, postage-due, damaged, or stolen entries or prize notifications; or for lost, interrupted, inaccessible, or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone, cable transmissions or other communications; or for any technical malfunctions, failures, difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Additionally, each Entrant agrees to be bound by and not to challenge the decisions of the Judges or the Partnership, or the number or amount of prizes, or the value or availability of in-kind support provided or not provided by the Partnership. These Official Rules cannot be modified except at the written direction of the Partnership. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. <h4>16. PRIVACY POLICY</h4> By participating in the Challenge<em>,</em> each Entrant hereby agrees and consents to the collection and usage of his, her, or its personal information by the Partnership and Luminary Labs and acknowledges that he, she, or it has read and accepted the privacy policy of the Partnership posted at http://www.partnershipforfreedom.org/wp-content/docs/pff_privacypolicies_r1.pdf. Luminary Labs collects personal information from Entrants to the Challenge. The information collected is subject to the privacy policy of Luminary Labs located at <a href="http://www.luminarylightbox.com/privacy">www.luminarylightbox.com/privacy</a>. <h4>17. ADDITIONAL TERMS THAT ARE PART OF THE OFFICIAL RULES</h4> Please review the Luminary Lightbox Terms of Service at <a href="http://www.luminarylightbox.com/terms">www.luminarylightbox.com/terms</a> for additional terms and conditions that apply to your participation in the Challenge and more generally your use of the Challenge website on the Luminary Labs platform. Such Terms of Service are incorporated by reference into these Official Rules, If there is a conflict between the Luminary Labs Terms of Service and these Official Rules, the Official Rules shall control with respect to this Challenge. Participation in the Challenge constitutes the Entrant’s full and unconditional agreement to these Official Rules. By entering, the Entrant agrees that all decisions related to the Challenge that are final and binding, and that all such decisions are at the sole discretion and/or at the direction of the Partnership. |

<h4>3. HOW TO ENTER</h4>
To enter the Challenge:
Go to the Challenge website and complete all required fields of the Challenge submission form before the close of open submissions on December 13, 2015 at 11:59:59 pm EST. (“Open Submission Period”).
All Entrants agree to abide by these Official Rules and the Master Challenge Agreement by making a submission. Once submitted, a submission may not be altered during the Open Submission Period. Multiple submissions from the same Entrant – regardless of whether the Entrant is an individual, team or entity – are acceptable. To be eligible for the Challenge, a submission must be received during the Open Submission Period. Dates are subject to change.
Submissions may be made by an individual, by a team, or by an entity. Individuals and/or team members must be clearly identified on the submission form and in the Master Challenge Agreement for a submission to be eligible for the Challenge. Teams and entities must designate a single individual as the primary contact and who will be authorized to bind the team or entity (“The Lead”). The Lead will be wholly responsible for the management and use of any prize monies awarded. In the event of a dispute regarding the identity or authority or authorization of any Entrant or The Lead that cannot be resolved to the Partnership’s satisfaction, the affected submission will be deemed ineligible.
All information and materials submitted on the Challenge website become the property of the Partnership and will not be acknowledged or returned. Proof of submission is not considered proof of delivery to or receipt of an entry by the Challenge. The Partnership and Luminary Labs assume no liability or responsibility for any error, omission, interruption, deletion, theft, destruction or unauthorized access to, or alteration of, any submission. |
